1. Who we are
FlowRoute is a software-as-a-service application provided by Sinsa LLC ("Sinsa", "we", "us", "our"). By creating an account or using FlowRoute (the "Service"), you ("you", "Customer") agree to these Terms & Conditions ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Acceptance
By continuing to access or use the Service you confirm that you have read, understood, and accepted these Terms. If you do not agree, you must stop using the Service.
3. The Service
FlowRoute provides portable sanitation operators with software for unit tracking, route planning, scheduling, mobile field workflows, billing, and related operational features. We may add, modify, or remove features over time.
4. Your account
You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity under your account and must keep your credentials confidential. You must be of legal age in your jurisdiction to enter into this agreement.
5. Acceptable use
You must not misuse the Service. In particular, you agree not to:
- Use the Service for any unlawful purpose, fraud, or to send spam;
- Infringe the intellectual property or privacy rights of any third party;
- Upload malware, attempt to gain unauthorized access, probe, scan, or test the vulnerability of the Service or any related infrastructure;
- Scrape, harvest, or otherwise extract data from the Service except via documented APIs;
- Reverse engineer, decompile, or attempt to derive source code from the Service except as expressly permitted by law;
- Resell or redistribute the Service without our written consent.
6. Intellectual property
Sinsa retains all right, title, and interest in and to the Service, including all software, documentation, designs, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your subscription plan.
7. Your content
You retain ownership of the data and content you upload to the Service ("Customer Data"). You grant Sinsa a limited, worldwide license to host, process, and transmit Customer Data solely to provide and improve the Service.
8. Payments, subscriptions, and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.
9. Service level
We work hard to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
10. Suspension and termination
We may suspend or terminate your access to the Service if you (a) materially breach these Terms, (b) fail to pay fees when due, (c) create a security, legal, or fraud risk to Sinsa or other customers, or (d) repeatedly or seriously violate our policies. You may cancel your subscription at any time via your account settings or Paddle.
On termination, we will make Customer Data available for export for a reasonable period (typically 30 days) before deletion.
11. Limitation of liability
To the fullest extent permitted by law, Sinsa's aggregate liability arising out of or related to these Terms or the Service will not exceed the fees you paid to Sinsa (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. Sinsa will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence where such limitation is prohibited by law.
12. Indemnity
You agree to indemnify and hold harmless Sinsa from any claim arising out of Customer Data, your use of the Service in violation of these Terms, or your unlawful conduct.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute.
14. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
15. Force majeure
Neither party is liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, labor disputes, internet outages, or governmental action.
16. Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
